"We don't charge VAT" can describe several very different situations. A landlord may make an exempt residential letting. An exporter may make a taxable supply at 0%. Another business may have the Federal Tax Authority's approval for an exception from VAT registration.
For a UAE business owner comparing VAT exemption vs exception, the distinction comes down to what is being classified: the transaction or the business's registration status. That distinction affects whether you need to register, what you report and whether you can recover VAT on your costs.
Start with the supply itself. Then assess registration. A zero amount of VAT on a sales invoice does not, by itself, answer either question.
VAT exemption, zero-rating and registration exception: the basic difference
Exemption and zero-rating describe supplies. A registration exception is an FTA decision about registration. The following summary assumes ordinary business VAT recovery, rather than a special statutory refund scheme. See the VAT Decree-Law, Articles 15, 45, 46 and 54 and Executive Regulation, Article 16.

Zero-rated does not mean exempt. Nor does an approved exception turn the business's zero-rated supplies into exempt supplies.
What does VAT exempt mean in the UAE?
An exempt supply falls within a category that UAE VAT law exempts. Businesses cannot choose exemption because a customer dislikes paying VAT or because the amount involved is small.
Article 46 of the VAT Decree-Law covers certain financial services, qualifying residential buildings, bare land and local passenger transport. The Executive Regulation sets the detailed boundaries. For example, a charge for a financial service is not necessarily exempt simply because a financial institution supplies it. Explicit fees and commissions can have a different treatment from margin-based financial services.
Property needs similar care. Commercial premises are not treated like qualifying residential accommodation, and some first supplies of residential buildings qualify for zero-rating. The contract, building use and transaction history matter. Executive Regulation, Articles 42–45.
What happens when you make an exempt supply?
You do not add 5% VAT to that supply, and you should not record it as a zero-rated sale. Keep evidence explaining why the exemption applies.
Consider a Dubai company letting an existing residential apartment under an annual tenancy that qualifies for exemption. It does not charge VAT on that rent. VAT on repairs directly attributable to that exempt letting will generally be a cost rather than recoverable input VAT. No separate application makes the rent exempt: the law determines its treatment.
If the same company also makes taxable supplies, its overall VAT registration and cost-recovery position still needs review. Exemption applies to the qualifying letting, not automatically to everything the company does.
What is a zero-rated supply?
A zero-rated supply is a taxable supply with a VAT rate of 0%. It remains relevant to registration even though the VAT amount charged to the customer is zero.
Examples include qualifying exports and certain international transport, healthcare and education supplies. Each category has conditions. A foreign customer address alone does not prove that a service qualifies as a zero-rated export; equally, not every service sold by a school or clinic qualifies.
A registered business making zero-rated supplies can potentially recover eligible VAT on associated costs. It must satisfy the recovery rules and retain the required evidence. That is often the financial difference that matters most. VAT Decree-Law, Articles 45 and 54–55.

A business with a large volume of zero-rated sales can still have a registration obligation. Conversely, substantial exempt income is not the same as substantial taxable turnover. The legal classification must come before the threshold calculation.
What is an exception from VAT registration?
Article 15 of the VAT Decree-Law allows the FTA, on request, to except a taxable person whose supplies are only zero-rated from registration. The provision covers registered and unregistered persons. An existing registrant must follow the applicable FTA process rather than stop filing on its own.
English materials sometimes use "exemption from registration" for this provision. The FTA also uses "exception from VAT registration", and Article 16 of the Executive Regulation uses "Exception from Registration". Read the surrounding rule, rather than relying on the word "exemption" alone.
This is different from an exempt supply and from being below the registration threshold. VAT Decree-Law, Article 15.
Is the VAT registration exception automatic?
No. Article 16 requires an application, an FTA decision and notification of that decision. A submission receipt proves that you applied; it does not prove that the exception is effective.
While the application is under review, track the registration deadline and any existing return obligations. Do not assume the request suspends them. Obtain confirmation from the FTA about your position if a deadline is approaching, and retain the authority's correspondence with your records. Executive Regulation, Article 16.
Who can apply for an exception from VAT registration?
The starting point is that the person's supplies are only qualifying zero-rated supplies. The FTA's registration FAQ adds that the person must not import goods or services subject to reverse charge. Businesses making both zero-rated and standard-rated supplies are not eligible on this basis. Review purchases from overseas as well as sales. FTA registration eligibility FAQ.
For UAE-resident businesses, mandatory registration generally applies when taxable supplies and imports exceed AED 375,000 over the previous 12 months, or are expected to exceed it in the next 30 days. The voluntary threshold is AED 187,500, subject to the applicable taxable-supplies, imports or taxable-expenses test. Different rules apply to non-residents. What happens if a business gets a registration exception?
An approved, unregistered business does not charge VAT as a registrant or use the normal VAT-return mechanism to recover input VAT. It generally does not file the periodic returns required of a registered business while the exception applies.
The trade-off deserves attention. An exporter may value simpler administration, but VAT on its local costs can become an unrecovered business expense. Review the expected cost before applying.
Keep the approval, its effective date and any conditions. Continue maintaining business records and checking eligibility. An exception does not cancel liabilities from an earlier registered period, and an existing registrant should follow the FTA's instructions for outstanding returns and adjustments. Why the difference matters for input VAT recovery
Input VAT is the VAT a business incurs on purchases and expenses. Whether it can recover that VAT depends on how the costs are used, its registration position and the recovery conditions.
Exempt business activity
VAT directly attributable to ordinary exempt supplies is generally not recoverable. If a repair bill relates solely to exempt residential rent, a separate taxable activity elsewhere in the business does not automatically make that repair VAT deductible.
Zero-rated registered business
Costs supporting taxable supplies at 0% can qualify for recovery. Registration alone does not make every bill deductible: the business must check supporting documents, payment-related conditions, blocked costs and applicable supplier-verification rules. VAT Decree-Law, Articles 54, 54 bis and 55.
Business with an approved registration exception
An unregistered person cannot make the ordinary input VAT claim available through a registrant's VAT return. That restriction arises from registration status, even though the underlying sales may qualify for zero-rating.

Illustrative cost comparison: a local supplier charges AED 10,000 plus AED 500 VAT for a cost used entirely in qualifying export activity. A registered exporter may recover the AED 500 if all recovery conditions are met. An exporter operating unregistered under an approved exception cannot claim that amount through a normal VAT return. The supplier's bill is the same; the recipient's VAT position is different.
Can a business have exempt and zero-rated supplies?
Yes. One legal entity can have several revenue streams with different VAT treatments. For example, qualifying residential rent could be exempt, an eligible export service could be zero-rated, and a domestic consultancy service could be standard-rated.
Classify each stream separately. For shared expenses, first distinguish directly attributable costs from costs supporting both taxable and exempt activities. Residual input VAT may require apportionment and annual adjustments under the prescribed rules; a simple sales-percentage calculation is not automatically the correct method. Can a business with exempt supplies get a registration exception?
Exempt supplies do not qualify as zero-rated supplies for the Article 15 test. There is no room to treat exempt supplies as if they were zero-rated.
A business making only exempt supplies should assess whether a registration obligation exists at all. A business combining exempt and zero-rated supplies must not assume it satisfies the requirement that supplies are only zero-rated. Review the complete position, including imports, and seek FTA confirmation where the facts require clarification. VAT Decree-Law, Articles 13, 15 and 19.
What happens if your revenue mix changes?
A new domestic service, a different contract or an import can change the basis on which an exception was granted. Review planned changes before the first transaction, rather than waiting for the year-end accounts.
Article 16(3) requires notification within 10 business days of making a standard-rated supply or import where changes lead, or are likely to lead, to loss of eligibility. Article 16(4) requires registration when the person ceases to satisfy the exception requirements. Adding exempt income also calls for an eligibility review; do not assume the approval covers a changed business model. Executive Regulation, Article 16.
What documents may the FTA request for a registration exception?
Prepare evidence that explains both your turnover and why your supplies qualify for zero-rating. A useful working file may include:
- Sales invoices and customer contracts linked to the relevant revenue streams.
- Export, transport or other evidence required for the particular zero-rating category.
- A turnover reconciliation supported by the accounting records.
- Purchase and import records showing whether reverse charge needs consideration.
- A short explanation of the business model and, where helpful, a transaction flowchart.
- The entity and authorised-signatory documents requested in the application.

How does the VAT registration exception application work?
1. Review the supplies and purchases
Identify the legal basis for each zero-rated revenue stream and check imports that may be subject to reverse charge. Resolve classification questions before relying on them in an application.
2. Establish the registration position
Calculate relevant turnover and the date an obligation arises. Existing registrants should also identify open returns and liabilities.
3. Prepare and submit supporting evidence
Use the FTA's current VAT registration process in EmaraTax and complete the exception-related information applicable to your profile. The general registration service starts from the taxable-person account and the VAT registration option. Follow the current on-screen guidance or obtain FTA assistance if your existing registration requires a different action.
Do not confuse this with a VAT administrative exception request. The FTA's Administrative Exceptions Guide expressly excludes registration exceptions from that service and directs them to the normal VAT registration process. FTA Administrative Exceptions Guide, section 3.1.
4. Obtain the decision and monitor the approval
Keep the submitted application, respond to information requests and read the formal decision. Check its effective date before changing your compliance routine. Do not treat a general service estimate as a guaranteed exception-approval deadline. After approval, add eligibility checks to your monthly accounting review.
What happens if the FTA rejects the exception request?
Read the reasons and reassess the ordinary registration rules and effective date. Where registration is required, arrange registration and deal with the associated invoicing, records and returns. Recover eligible input VAT only under the applicable rules.
Rejection does not turn a genuinely zero-rated sale into a 5% sale. It concerns the registration request; each supply still needs its own correct treatment. Nor should a business assume its registration liability begins only on the rejection date. Executive Regulation, Articles 7 and 16.
What happens if you assume your exception has been approved?
Submitting an application is not the same as receiving approval. Silence from the FTA, a zero VAT amount on sales and a small expected payment are not substitutes for the authority's decision.
If registration or returns were required, the business may have missed obligations while waiting. Review the dates, identify any corrective action and obtain advice about the applicable penalties. Article 15 also allows the FTA to collect tax and administrative penalties for an exception period if it finds the person was not entitled to the exception. No single penalty amount describes every situation. VAT Decree-Law, Article 15.
What happens if you misclassify an exempt supply as zero-rated?
The customer may still see no VAT amount, but the accounting consequences can be substantial. A wrong tax code can put sales in the wrong return category, distort taxable turnover and support an input VAT claim that should not have been made.
Trace the error through sales, costs and previous returns. Review the correction procedure that applies to the facts rather than simply changing the code for future invoices. Practical examples: exempt, zero-rated and registration exception
All businesses and figures below are illustrative, not client cases or individual tax advice.
Example 1: qualifying residential leasing
Palm Courtyard Properties leases an existing Dubai apartment to a resident under a qualifying annual residential tenancy. Assume the letting is exempt and is not a qualifying first zero-rated supply. The company charges no VAT on that rent, records it as exempt and generally cannot recover VAT on costs directly attributable to it. It does not apply to "become exempt" for that transaction.
Example 2: a UAE export business
Harbour Design Studio has AED 600,000 of services that have been reviewed and satisfy the export zero-rating conditions. Assume all its supplies qualify and it has no imported goods or services subject to reverse charge. Its sales remain taxable at 0% and count towards the registration analysis. It may request an exception, but must obtain the FTA's approval before relying on it. It should compare the administrative benefit with VAT it would be unable to recover while unregistered.
Example 3: export and domestic services
Cedar Advisory earns AED 500,000 from qualifying zero-rated exports and AED 80,000 from standard-rated UAE services. It cannot use the only-zero-rated-supplies basis for an exception. Assuming the normal resident-business conditions apply, it must address registration. Once registered, it distinguishes its 0% exports from its 5% domestic services and assesses related input VAT accordingly.
A quick decision guide
Start with the actual transaction, including its place of supply. Some transactions may be outside the scope of UAE VAT and require separate analysis.
- Does a statutory exemption apply? If yes, record the supply as exempt and review related input VAT restrictions.
- If not, does a zero-rating provision apply and is the evidence available? If yes, classify it as taxable at 0%. Otherwise, assess the standard-rate or other applicable treatment.
- Review registration using the person's complete supplies and imports. Include zero-rated taxable supplies in the relevant calculation.
- Are supplies only zero-rated, with the FTA's import-related condition satisfied? Consider an exception request and the recovery trade-off. Otherwise, apply the normal registration analysis.
- Has the FTA formally approved the request? If not, do not rely on an active exception. If approved, follow its effective date and monitor changes.
This is a simplified guide. It does not replace reviewing the transaction, current legislation and the person's full circumstances.
Why businesses often confuse exemption and exception
Both words can appear beside an invoice with no VAT charged. That visual similarity hides different reasons: a supply may be exempt, taxable at 0%, or made by a person outside registration.
Confusion also arises when businesses describe all overseas sales as "exempt" or use a single "no VAT" accounting code. Give exempt, zero-rated and out-of-scope transactions distinct codes with clear descriptions. Keep registration status as a separate compliance record. That makes later reviews much easier.

- Do not code zero-rated sales as exempt. It changes reporting and can affect recovery.
- Do not assume every export qualifies. Check the relevant conditions and evidence.
- Do not treat low turnover as an approved registration exception. These are different reasons for a registration position.
- Do not treat an application receipt as approval. Keep the formal decision.
- Do not review sales alone. Imports and changes in activities can affect eligibility.
- Do not claim all purchase VAT because the company has a TRN. Review the use of each cost and applicable restrictions.
- Do not assume exempt income settles the whole registration question. Check other supplies and relevant imports.
Does an exempt business need to register for VAT?
A person making only exempt supplies will generally not meet the normal registration test through those exempt supplies alone. However, describing a business as "exempt" can conceal taxable side activities or relevant imports.

How VAT classification affects your VAT return
A registrant distinguishes standard-rated, zero-rated and exempt supplies in its reporting. Zero-rated sales remain taxable sales even when they generate no output VAT. Exempt sales have separate treatment and may affect input VAT apportionment.
